Abstract

This paper deals with the insolvency as a cause for dissolution of certain legal entities and seeks to delimit the field of application of corporate liquidation and bankruptcy liquidation for those companies that contemplate such a cause for dissolution. The aim is to show that the operation of insolvency as a cause for dissolution is not automatic and that there are various courses of action. The arrangement of cases also requires an examination of the situation of single-owner limited liability companies, closely held corporations and foundations, which differ in some respects from the common regime for partnerships.
